The Securities and Exchange Commission (SEC) is a body corporate established under the repealed Securities Act, Cap. 354 of the laws of Zambia and whose existence is continued under the new Securities Act, No. 410f 2016. SEC has the objective of inter alia regulating and developing the Zambian Capital Markets and is responsible for the supervision and development of the Capital Markets in Zambia as well as the licensing of financial intermediaries, collective investment schemes and securities exchanges, the registration of securities to be issued such as debt and equity instruments, and the authorization of transactions in entities registered with SEC
SEC now seeks to recruit qualified Zambians to fill the following positions:

1.0 Job Title: MANAGER -INVESTIGATIONS AND ENFORCEMENT (X1)

1.1 REPORTING: DIRECTOR ENFORCEMENT AND LEGAL SERVICES

1.2 Job Purpose:

To provide support to Director-Enforcement and Legal Services in matters relating to enforcement of the Securities Act, and the broader Law of the land to protect investors and the market, through investigations of securities law breaches and undertaking enforcement action to enforce compliance with the Zambian securities’ regulatory framework

1.3 Key Result Areas and Accountabilities 

1.3.1 Investigations: Investigates all cases of infringement of the Securities Law, Gathers
information from public sources and receives market surveillance and intelligence reports, and carries out necessary investigations, Receives complaints from the market, conducts the necessary investigations and recommends appropriate remedial action; Works with investigative wings of the country in investigating cases of infringement of the Securities Law and regulations

1.3.2 Enforcement: Recommends and implements the approval of appropriate enforcement action, Establishes and utilizes frameworks for liaising with other law enforcement agencies

1.3.3 Litigation: Undertakes litigation on behalf of the Commission, including those arising out of disputes between the Commission and Capital Market players as well as other entities and persons the Commission deals with;

1.3.4 Legal interpretation Interprets key statutes such as the Securities Act, Regulations, and other places of key legislation, which have a bearing in carrying out the SEC Mandate

1.3.5 Legal drafting: Drafts and peruses legislation, legal documents, regulatory instruments, contracts and agreements, pleadings, affidavits, deeds, leases, and diverse applications to safeguard the Commission’s interests and ensure that they are efficiently and effectively executed

1.3.6 Confidentiality Maintains strict confidentiality of and does not disclose pertinent Information being used in the investigative process,

1.3.7 Staff Supervision Supervises, motivates, and disciplines staff subject to the Manager’s supervision in the department to achieve departmental objectives

1.3.8 Performance Management: Agrees, monitors and reviews of performance of subordinates to ensure that they meet their performance objectives.

1.3.9 Reports: Prepares monthly, quarterly, and departmental reports and submits them to the supervisor as scheduled; and

1.3.10 Other duties: Attends to any other lawful duties as may be assigned

1.4 Required competencies/Personal qualities: 

1.4.1 Extensive knowledge and understanding of the Securities Law

1.5 Experience undertaking investigations 

1.5.1 High level of analytical and investigative skills

1.5.2 Experience in criminal and civil litigation

1.5.3 Knowledge of procedures and practices used in the conduct of Civil litigation, judicial
procedures, and rules of evidence

1.5.4 Ability to provide legal advice on securities and exchange matters and deal with issues arising in the Commission initiatives and activities

1.5.5 Competence in legislative drafting is an added advantage

1.5.6 Good organizational and supervisory skills

1.5.7 Good soliciting and arbitration experience

1.5.8 Good communication skills both written and oral

1.5.9 Basic computer skills (Word processing, spreadsheets, and internet)

1.5.10 High level of integrity and confidentiality

1.5.11 High level of attention to detail or accuracy

1.6 Qualifications

  • Grade School Certificate
  • Bachelor of Laws Degree (LLB)
  • Advocate of the High Court of Zambia with at least three years standing
  • Member of LAZ with at least 3 years post qualification experience.
  • Experience in security and criminal investigations, intelligence at supervisory level or forensics will be an added advantage

1.7 Minimum relevant work experience

A minimum of 3 years relevant experience
